These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Noire Esport Ltd, a company registered in Scotland (“ProveIt”, “we”, “us”, or “our”), governing your access to and use of the ProveIt platform at proveit.gg, including all associated services, features, and content (collectively, the “Platform”).
By creating an account, accessing the Platform, or participating in any competition hosted through ProveIt, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
The Platform is currently in a pre-release testing phase. During this phase, all competitions and features are provided free of charge. We may introduce paid features in the future, and these Terms will be updated accordingly with at least 14 days’ notice before any such changes take effect.
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Platform at least 14 days before they take effect. Your continued use of the Platform after such notice constitutes acceptance of the updated Terms.

We reserve the right to request identity verification at any time, including proof of age. Failure to provide requested verification may result in account suspension or termination.
You must create an account to access most Platform features. When registering, you agree to:
You may register only one account. Creating multiple accounts (“smurfing”) is prohibited and may result in the permanent suspension of all associated accounts.
We support authentication through third-party services including Discord. By linking your account, you authorise us to access certain information from those services as described in our Privacy Policy. You remain bound by the third-party service’s own terms of use.
ProveIt hosts and facilitates competitive gaming events including leagues, tournaments, and challenge matches (collectively, “Competitions”). During the current testing phase, all Competitions are free to enter. Details of each Competition, including format, rules, and scheduling, will be published on the Platform prior to registration opening.

Users may create or join teams on the Platform. Team captains are responsible for managing their roster and ensuring all team members comply with these Terms and applicable Competition rules. ProveIt is not responsible for internal team disputes regarding leadership or roster changes unless those disputes directly affect Competition integrity.

We reserve the right to moderate, edit, or remove any user-generated content that violates these standards.
ProveIt provides a dispute resolution system for contested match results. The process is as follows:
Repeated frivolous disputes may result in sanctions, including loss of dispute privileges and account suspension.
All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, trademarks, software, and design elements, are owned by or licensed to Noire Esport Ltd and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Platform content without our express written permission.
By submitting content to the Platform (including profile information, team descriptions, chat messages, dispute evidence, and any other materials), you grant ProveIt a non-exclusive, worldwide, royalty-free, perpetual licence to use, reproduce, modify, display, and distribute such content in connection with operating and promoting the Platform.
You retain ownership of your content, but you represent and warrant that you have the right to grant this licence and that your content does not infringe any third-party rights.
ProveIt may record, broadcast, or facilitate the streaming of Competitions hosted on the Platform. By participating in a Competition, you consent to the recording and broadcast of your gameplay, voice communications during matches, and associated player information (gamertag, team name, statistics) for promotional, editorial, and commercial purposes.
ProveIt is an independent platform and is not affiliated with, endorsed by, or sponsored by any game publisher unless expressly stated. All game titles, trademarks, and intellectual property referenced on the Platform belong to their respective owners.
Matches are played on third-party game servers operated by the game publisher. ProveIt is not responsible for:
Your use of third-party games is governed by the applicable game publisher’s terms of service and end-user licence agreement, which you must comply with independently.
To the maximum extent permitted by law:
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
We may suspend or terminate your account, or restrict your access to certain Platform features, at our discretion if:
Where possible, we will provide notice of suspension or termination and an opportunity to appeal. However, we reserve the right to act immediately and without prior notice where we believe there is an imminent risk to Platform integrity or user safety.
You may close your account at any time by contacting admin@proveit.gg. Upon account closure, your personal data will be handled in accordance with our Privacy Policy.
Upon termination, your right to access and use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.
You agree to indemnify, defend, and hold harmless Noire Esport Ltd, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with:
These Terms are governed by and construed in accordance with the laws of Scotland. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Scottish courts.
If you are a consumer resident in the European Union or United Kingdom, you retain any mandatory consumer protection rights afforded to you under the laws of your country of residence. Nothing in these Terms affects your statutory rights as a consumer.
Entire Agreement. These Terms, together with the Privacy Policy and Competition Rules, constitute the entire agreement between you and ProveIt regarding the Platform.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
Notices. Notices to ProveIt should be sent to admin@proveit.gg. We will send notices to the email address associated with your account.
Force Majeure. ProveIt shall not be liable for any failure to perform its obligations where such failure results from circumstances beyond our reasonable control.
